Hengeler Mueller advises Fortum on acquisition of majority in Uniper

Fortum Oyj ("Fortum"), a leading clean-energy company headquartered in Espoo, Finland, has entered into agreements to acquire all Uniper shares held by funds managed by Elliott and Knight Vinke, a total in excess of 20.5%, increasing Fortum's share in Uniper to more than 70.5%. The purchase price amounts to approx. EUR 2.3 bn. Closing of the transaction is subject to customary regulatory clearances in Russia and the United States. The transaction will be financed with existing cash resources and committed credit facilities.

Hengeler Mueller advises Fortum on the transaction and its financing. The team is led by partners Joachim Rosengarten (Frankfurt) and Rainer Krause (Düsseldorf) (both Corporate/M&A) and includes partners Daniela Böning, Nikolaus Vieten (both Financing) and Christian Schmies (Regulatory) (all Frankfurt), Counsel Matthias Cloppenburg (Corporate/M&A, Düsseldorf) as well as associates Jan Häller (Corporate/M&A), Pascal Brandt (Regulatory) (both Frankfurt) and Till Hiemenz-Müller (Financing, London).

Hengeler Mueller already advised Fortum with regard to the takeover offer submitted to the shareholders of Uniper in 2017/2018, when Fortum acquired the 47% stake held by E.ON.
