Hengeler Mueller advises Schneider Electric on voluntary public takeover offer to shareholders of Shelly Group

SE 2026 A SAS, a wholly-owned subsidiary of global energy technology leader Schneider Electric SE (“Schneider Electric”), has entered into an Investment Agreement with Shelly Group SE (“Shelly Group”), a provider of IoT and smart building solutions based in Sofia, Bulgaria. The Investment Agreement sets out the terms on which Shelly Group would support Schneider Electric's intended voluntary public tender offer. Schneider Electric intends to offer EUR 70.00 in cash for each Shelly Group share. This values Shelly Group at approximately EUR 1.2 billion.

Hengeler Mueller advises Schneider Electric in an integrated team together with Best Friends law firm Bredin Prat (Clémence Fallet, France), Boyanov & Co (Yordan Naydenov, Bulgaria) and JunHe (China) on the Investment Agreement and the voluntary public takeover offer.
