Hengeler Mueller client Linde succeeds in proceeding before Munich Regional Court – Declaratory action in connection with Praxiar-Merger rejected

The Munich Regional Court I has decided that the conclusion of the Business Combination Agreement between Linde AG and Praxair, Inc. on the by now completed merger did not require the separate approval by the Annual General Meeting of the Company. The court thus confirmed the legal position represented by the company and rejected the corresponding declaratory action, brought by some Linde shareholders, supported by Deutsche Schutzvereinigung für Wertpapierbesitz e.V. (DSW).
