United Internet AG is participating in a capital increase against contribution in kind at its listed subsidiary 1&1 AG. The share capital of 1&1 AG will be increased by 20%, with the subscription rights of the remaining shareholders being excluded.
As a contribution in kind, United Internet is contributing an intercompany loan receivable of approximately EUR 850 million against 1&1 Versatel GmbH, an indirect wholly-owned subsidiary of 1&1 AG.
The transaction strengthens the equity base of 1&1 AG while also simplifying the group's internal financing structure.
