Hengeler Mueller advises on successful DBV-Winterthur squeeze-out

The resolution passed at the Annual General Meeting of DBV-Winterthur Holding AG on 3 July 2008 to transfer the shares owned by outstanding shareholders (minority shareholders) in DBV-Winterthur Holding AG to AXA Konzern AG (majority shareholder) was entered into the commercial register on 9 April 2009 and has thereby become effective. Thus, the legal clearance proceedings against some 40 plaintiffs have been successfully concluded for the company. This is one of the largest squeeze-outs in recent years.

Hengeler Mueller advised AXA Konzern AG and DBV-Winterthur Holding AG. The Hengeler Mueller team included partner Daniel Wilm (Corporate) and associates Martin Empt, Laura Gravenhorst, Martin Rothfuchs and Cristina Villafrade (all Düsseldorf).

Back in September 2008, Hengeler Mueller had already advised on the control agreement and its successful entry into the commercial register.
