Hengeler Mueller advises Linde on Merger with Praxair

The merger of Linde and Praxair under the new holding company Linde plc has been closed today. Having received the last required approval for the transaction by the US antitrust authority last week, the new shares of Linde plc were admitted to trading on the stock exchanges in Frankfurt and New York and the exchange offer of Linde plc to the shareholders of Linde AG was completed.

Hengeler Mueller advised Linde comprehensively on the transaction. The mandate included the negotiations with Praxair, the legal structuring of the transaction, the coordination of foreign legal advisors, the formation of Linde plc and its corporate governance, the takeover offer of Linde plc to the shareholders of Linde AG and the admission of the shares of Linde plc to the Frankfurt Stock Exchange and the NYSE, as well as the sale of businesses or parts thereof as required by antitrust authorities.
