Hengeler Mueller advises Cognigy founders and shareholders on sale to NiCE

NiCE, a global leader in AI-powered customer experience, announced that it has entered into a definitive agreement to acquire Cognigy, a global market leader in conversational and agentic AI.

Cognigy’s flagship platform, Cognigy.AI, enables enterprises to deploy AI agents that think, adapt, and act independently to deliver human-like customer service. Cognigy serves top-tier brands including Lufthansa Group, Henkel and Nestlé.

The transaction values Cognigy at approximately USD 955 million. The transaction is subject to customary closing conditions and expected to close in the fourth quarter of 2025.
