Hengeler Mueller advises EuroChem on acquisition of K+S Nitrogen

EuroChem have signed an agreement with K+S Aktiengesellschaft regarding the acquisition of K+S Nitrogen, a leading supplier of nitrogenous fertilizers. The transaction is subject to merger clearance in the EU and Turkey and expected to close at the end of Q2 2012.

K+S Nitrogen markets nitrogenous fertilizers with a focus on major customers in agriculture and special crops such as fruits, vegetables and grapes. In 2011, the company based in Mannheim, Germany, generated revenues of EUR 1.157 bn and operating earnings of EUR 69.4 m.

EuroChem based in Moscow, Russia, is a leading global agrochemical company, producing primarily nitrogen and phosphate fertilizers, as well as certain organic synthesis products and iron ore. The group activities span from mining and natural gas extraction to production, logistics, and distribution. The acquisition of K+S Nitrogen is a consequent extension to EuroChem's business operations following the recently concluded acquisition of the BASF fertilizer activities in Antwerp.
