Hengeler Mueller advises Deutsche Telekom on agreement concerning PTC/Poland

On 15 December 2010, Deutsche Telekom AG entered into an agreement with the French company Vivendi, the Polish company Elektrim and individual creditors of Elektrim, including the Polish State. The agreement will, once closing has occurred, settle all legal disputes between the parties to the settlement before various courts and arbitral tribunals and ensure Deutsche Telekom’s 100% shareholding in the Polish mobile telephony company Polska Telefonia Cyfrowa (PTC), one of the three leading mobile telephony providers in Poland. Closing of the transaction is still subject to various conditions.

Hengeler Mueller has been providing advice to Deutsche Telekom AG since the end of 2004 in connection with the litigation strategy as well as the settlement and acquisition of the remaining shares in PTC. The Hengeler Mueller team was led by partner Christof Jäckle (Frankfurt) and included partners Gerhard Lang and Emanuel Strehle (both Munich) as well as senior associate Anna-Maria Flick and associate Annika Clauss (both Frankfurt).

Responsible for legal matters at Deutsche Telekom AG were Manfred Balz (Board Member: Data Privacy, Legal Affairs and Compliance), Axel Lützner (Head of M&A (Legal)) and, since November 1, 2010, Claudia Junker (General Counsel).

Hengeler Mueller worked on this matter in an Integrated Team with the law firms SPCG and Popiolek & Partner (both Poland) as well as Slaughter and May (UK).
