Hengeler Mueller advises Vitesco Technologies on public tender offer by Schaeffler and entering into a business combination agreement

Vitesco Technologies Group AG (“Vitesco Technologies”) has signed a Business Combination Agreement (“BCA”) with Schaeffler AG (“Schaeffler”) that sets out key parameters of the business combination of the two companies. Schaeffler had previously announced a voluntary public tender offer to the shareholders of Vitesco. Following the completion of the tender offer, the parties intend, subject to an agreement on the exchange ratio and the merger agreement, to submit the business combination by merger to their respective shareholders' meetings for resolution and, upon their approval with the required majority, to complete the merger.
