Hengeler Mueller advises OSRAM Licht AG on IPO

On 8 July 2013, OSRAM Licht AG successfully completed its IPO with the initial listing of its shares on the Frankfurt Stock Exchange. The IPO took place by way of spin-off of Siemens AG. Each Siemens shareholder received one OSRAM share per 10 Siemens shares.

OSRAM, headquartered in Munich, is one of the two leading light manufacturers in the world, has around 39.000 employees worldwide and generated revenue of EUR 5.4 bn in the fiscal year 2012.

Hengeler Mueller had advised Siemens and OSRAM on the IPO in relation to corporate and capital markets law. This also included the structuring and preparation of the spinoff of OSRAM which took effect on 5 July 2013 and the representation of Siemens on actions by shareholders to set aside the resolution on the spin-off.
