Hengeler Mueller advises Nexture on the acquisition of Frulact

Hengeler Mueller advises Nexture, an independently managed investment company affiliated to Investindustrial, on the acquisition of Frulact, a leading global manufacturer of fruit-based speciality ingredients, liquid flavours and plant-based ingredients, from funds advised by Ardian.

Nexture is a global integrated group specializing in the development and manufacturing of high-quality food ingredients and value-added solutions. The acquisition strengthens Nexture’s capabilities in developing and innovating fruit-based preparations and value-added solutions, and broadens its global reach to North America and Africa. Following the acquisition, the group will have estimated revenues of c.€1.1bn, 24 factories worldwide and 2,700 employees.

Completion of the acquisition is subject to customary regulatory approvals and is expected to take place in Q1 2026.

Hengeler Mueller advises Nexture on the transaction in an integrated team with Best Friends firms Slaughter and May, Uría Menéndez, Bredin Prat, and several other law firms. The transaction follows the acquisition of CSM’s bakery ingredients business (now part of Nexture) by Investindustrial VII L.P., on which Hengeler Mueller also advised in an integrated team with Best Friends Slaughter and May, De Brauw Blackstone Westbroek, Uría Menéndez, and Bredin Prat among others.
