Hengeler Mueller advises MAN on merger-related squeeze-out with TRATON

The annual general meeting of MAN SE resolved on 29 July 2021 on request of majority shareholder TRATON SE the transfer of the shares held by the minority shareholders of MAN SE to TRATON SE against an appropriate cash compensation. The underlying merger agreement between MAN SE as the transferring entity and TRATON SE as the acquiring entity was concluded on 14 May 2021. The effectiveness of the merger and the squeeze-out is subject to the entry in the commercial registers.
