Hengeler Mueller advises HENSOLDT on acquisition of Nedinsco

HENSOLDT AG (“HENSOLDT”) has signed an agreement to acquire Dutch optronics specialist Nedinsco. Nedinsco is a manufacturer of electro-optical sensor systems, including periscopes, driver vision systems and subsystems for optronic sensor units based in Venlo, Netherlands, and originally founded in 1921.

The transaction is intended to strengthen HENSOLDT’s technological capabilities in a strategically relevant segment, securing critical supply chains and expanding its industrial presence in Europe.

The transaction is expected to close in mid-2026, subject to customary closing conditions including regulatory approvals.

Hengeler Mueller advised HENSOLDT on merger control aspects of the transaction including the filing before the Federal Cartel Office.
