Hengeler Mueller advises Danfoss on power electronics joint venture with SEMIKRON

Danfoss A/S and Semikron International Dr. Fritz Martin GmbH & Co. KG have entered into a business combination agreement of their respective subsidiaries, Danfoss Silicon Power GmbH and SEMIKRON INTERNATIONAL GmbH, under a newly formed holding company. Danfoss will hold the majority in the holding company.

The joint venture will be globally active in the area of power electronics focusing on semiconductor modules. With an existing workforce of more than 3,500 power electronics specialists, the joint venture will become a leading provider in its sector. Closing of the transaction is subject to customary conditions, including merger control clearance.

Hengeler Mueller advised Danfoss on the transaction. The team was led by partner Peter Weyland (M&A, Frankfurt) and included partners Matthias Scheifele (Tax, Munich), Markus Röhrig (Merger Control, Brussels) and Christian Hoefs (Employment, Frankfurt), counsel Patrick Wilkening (IP/IT) and Anja Balitzki (Merger Control) (both Düsseldorf) as well as associates Laura Rothmann, Guglielmo Ziani, Nicholas Kubesch (all M&A, Frankfurt), Jan Adami (Tax, Frankfurt), Kim Weisser (IP/IT) and Sara Jungewelter (Merger Control) (both Düsseldorf).
