Hengeler Mueller advises banks on Siemens Healthineers' EUR 2.3bn capital increase

Siemens Healthineers AG has successfully placed 53 million new shares with institutional investors through an accelerated book-building offering. The placement price was set at EUR 44.10 per share, resulting in gross proceeds of around EUR 2.3 billion before deduction of commissions and expenses. Approximately 16.2 percent of the offer size was allocated to Qatar Investment Authority (QIA).

With this capital increase Siemens Healthineers completes the equity-related part of the financing of the acquisition of Varian Medical Systems, Inc. A first capital increase was already carried out in September 2020, which resulted in gross proceeds of around EUR 2.7 billion before commissions and expenses.

Hengeler Mueller advised the bank syndicate on both capital increases. The team was led by partner Alexander Rang and included associates Henrik Gildehaus, Pascal Brandt and Christoph Roggemann (all Capital Markets, Frankfurt).
