Hengeler Mueller advises Silver Lake on public takeover offer for Software AG

Blitz 22-449 SE, a holding company controlled by funds managed or advised by global technology investment firm Silver Lake has announced its decision to make a voluntary public takeover offer for all no-par value registered shares of Software Aktiengesellschaft. The Company’s Management Board and the Supervisory Board of Software AG support the expansion of the strategic partnership and, subject to their fiduciary duties, intend to recommend that shareholders accept the takeover offer.

Silver Lake has in this context entered into a share purchase agreement with Software AG - Stiftung to acquire a stake of 25.1% of all outstanding Software AG shares.
