Hengeler Mueller advises RWE on increase of stake in Amprion

RWE has signed binding agreements with five limited partners of M31 to acquire their indirect interests in Amprion, one of Germany’s four transmission system operators. After completion of these acquisitions, RWE’s total interest in Amprion will increase on a look-through basis to 55%. The aggregate purchase price across all acquisitions amounts to €3.6 billion.

All acquisitions are expected to have been completed by the third quarter of 2026. Completion is subject to customary conditions, including the necessary regulatory approvals.
