Hengeler Mueller advises on sale of Austria's Kommunalkredit Austria AG

The two indirect controlling shareholders of Kommunalkredit Austria AG, Interritus Limited, based in the United Kingdom, and Trinity Investments Designated Activity Company, based in Ireland and managed by Attestor Capital LLP, have sold their entire stakes in Satere Beteiligungsverwaltungs GmbH (the holding company of Kommunalkredit Austria AG) to Green Opera Finance BidCo AB which is part of Swedish Altor Group. The current owners of the holding company will each indirectly hold a 9.9% interest in the acquiring company.

The sale is subject to approval by competition and regulatory authorities.

Hengeler Mueller has advised the two sellers comprehensively on the transaction. The team included partners Johannes Adolff (Corporate/M&A), Dirk Bliesener (Banking Regulatory), Christian Hoefs (Employment, all Frankfurt), Markus Ernst (Tax, Munich) and Alf-Henrik Bischke (Antitrust, Dusseldorf), counsel Jan Steffen (Banking Regulatory) and Marius Marx (Tax, both Frankfurt) as well as associates Maximilian Kunzelmann, Lea Sophie Grohmann (both Frankfurt), Jan Häller (Dusseldorf, all Corporate/M&A) and Jan Henry Adami (Tax, Frankfurt).

Binder Grösswang acted as Austrian counsel to the sellers. The team comprised partners Thomas Schirmer (Corporate/M&A), Stefan Frank (Regulatory), Clemens Willvonseder (Tax) as well as associate Philipp Tagwerker (Corporate/M&A).

Roschier acted as Swedish counsel to the sellers with a team including partner Björn Winström and associate Axel Bonning (both Corporate/M&A).
