Hengeler Mueller advises on implementing new structure of RWE Group

The “New RWE” structure of RWE Group entered into operation on 1 September 2009. The company is thereby adapting to ever increasing competition on the energy market. The entire distribution and grids business has been fundamentally readjusted and streamlined. The newly established RWE Vertrieb AG has four million electrical power and gas customers and an expected turnover of € 13 billion. Furthermore, the energy efficiency business and the eMobility activities of the group were concentrated in the newly created RWE Effizienz GmbH.

Hengeler Mueller advised RWE AG on the concept and the implementation of this substantial reorganization. This comprised the coordination of numerous corporate measures (incl. mergers, spin-offs and carve-outs) within a short period of time.

The Hengeler Mueller team included partners Hartwin Bungert (Corporate, Düsseldorf) and Christian Hoefs (Labour, Frankfurt) as well as associates Maurice Séché, Susanne Muck, Sebastian Longrée, Oliver Rieckers and Thomas Rühle (all Düsseldorf).
