Hengeler Mueller advises Madison Air on acquisition of ebm-papst

Madison Air Solutions Corporation ("Madison Air"), a global provider of air quality solutions, announced it has entered into a definitive agreement to acquire ebm-papst, a leading global supplier of high-performance airflow technology and a pioneer in integrated electronically commutated fan and motor systems, at an enterprise value of $5.4 billion.

Madison Air intends to fund the transaction through a combination of cash on hand and debt and equity financing.

The transaction is expected to close around year end, subject to receipt of required regulatory approvals and satisfaction of customary closing conditions.
