Hengeler Mueller advises KKR on capital increase of OHB and partial sale of shares

On 22 June 2026, OHB SE announced to increase its share capital by issuance of new shares for cash contributions of up to EUR 510.7 million. In order to increase the free float, the company’s principal shareholders, including Orchid Lux HoldCo S.à r.l., an investment company indirectly held by entities advised by subsidiaries of KKR & Co. Inc., have waived the exercise of their subscription rights with respect to new shares issued. In addition, Orchid Lux HoldCo S.à r.l. will make available from its shareholding shares equal to c. 4.5% as well as additional shares equal to up to c. 1.9% of the current share capital of OHB SE in connection with possible over-allotments as part of a private placement with qualified international investors by way of an accelerated bookbuilding process.
