Hengeler Mueller advises Commerzbank on UniCredit's takeover offer

On 5 May 2026, UniCredit has published the offer document as part of its unsolicited public takeover offer for all shares of Commerzbank. The acceptance period runs until 16 June 2026. The takeover bid is structured as a share-for-share exchange offer, with the consideration consisting exclusively of newly issued shares in UniCredit. The market capitalization of Commerzbank stands at approximately EUR 40 billion as of May 7, 2026.
