Hengeler Mueller advises banks on the proposed takeover of Deutsche Wohnen by Vonovia

Vonovia SE has announced to submit a public takeover offer to the shareholders of Deutsche Wohnen SE and entered into an agreement with Deutsche Wohnen SE on the combination of both businesses. The shareholders of Deutsche Wohnen are to receive a total consideration of EUR 53.03 per Deutsche Wohnen share, comprising of an offer price of EUR 52 in cash plus the dividend for the 2020 financial year of EUR 1.03 per Deutsche Wohnen share.

Hengeler Mueller advises the financing banks Bank of America, Morgan Stanley and Société Générale on the transaction and the structuring of the public offer.
